E-Commerce Sales Territory Policy

General E-Commerce Policy, Purpose and Scope:

LifelineUSA has established an E-Commerce Sales Channel Policy as set forth herein. Among other things, this policy has been established to be sure that LifelineUSA resellers have profit margins which are adequate to compensate them for their investment in the LifelineUSA line of products. Such investment includes, but is not limited to, their investment in inventory and in educating and training their sales and marketing staff and their customers about the benefits of LifelineUSA products, through seminars, trade shows, advertising, and marketing the LifelineUSA line of products. This policy is also designed to maintain in the market and with its resellers the value, as well as the perceived value, of the LifelineUSA line of products, and of its trade names and trademarks associated with such products.

Compliance Guidelines & Requirements
All LifelineUSA products have a MSRP [Manufacturer Suggested Retail Price] associated with such product.  The MSRP will serve as the MAP [minimum advertised price] for all LifelineUSA products.  LifelineUSA reserves the right to manage the online E-Commerce Sales Territory by supporting and seeking resellers that;

  • Elevate and maintain the LifelineUSA brand integrity; and
  •  

  • Actively promote and market LifelineUSA products; and
  •  

  • Actively educate and support their customers through the order and product usage process.
  •  

    The use of any LifelineUSA Intellectual Property (“Intellectual Property”) in an advertisement that advertises the price of a LifelineUSA Product below MSRP is prohibited. LifelineUSA Intellectual Property includes but is not limited to its trademarks, trade names, copyrights, images, or other content owned by LifelineUSA and provided to a reseller by LifelineUSA.

    Resellers acting inconsistently with LifelineUSA’s E-Commerce Sales Channel Policy will be deemed to be in violation of the policy and any authorization implied or express to use, reprint, or reissue our Intellectual Property may be revoked within 3 days from the date the reseller is directed to correct the violation. 

    The following are not inconsistent with the E-Commerce Sales Channel Policy:

  • The E-Commerce Sales Channel Policy does not apply to the price at which a Product may be sold, but only to the advertised price; and
  •  

  • The E-Commerce Sales Channel Policy does not apply to in store displays, point-of-sale signs, hangtags, bar codes or similar marks on products or product packaging that merely states the sales price; and 
  •  

  • The E-Commerce Sales Channel Policy does not apply to advertising volume discounts without stating or including an advertised price; and
  •  

  • The E-Commerce Sales Channel Policy does not apply to advertising that a reseller “has the lowest price”, or “its price is the lowest”, or “it will meet or beat any price”, or “call for the lowest price”, or claims of similar import.
  •  

    Internet Advertising and Sales:

    The above E-Commerce Sales Channel Policy also applies to Internet Advertising and Sales. In addition, the following also applies to Internet Advertising and Sales:

    All Intellectual Property of LifelineUSA may not be used, except to identify the LifelineUSA Products that are available for purchase, without the prior written permission from LifelineUSA. Any such consent is revocable by LifelineUSA at any time in its sole discretion.

    All LifelineUSA Intellectual Property, including but not limited to, the content of its web site and all information downloaded by an internet reseller or uploaded by LifelineUSA to the Internet Reseller is the sole and exclusive property of LifelineUSA and no content may be modified and LifelineUSA has the right to revoke the reseller’s right to use such content, in which case all of it shall be returned to LifelineUSA. In addition, such Intellectual Property shall only be used by the reseller in conjunction with the resale of LifelineUSA Products. 

    Sales Territories and Product Placement:

    Resellers must receive prior written permission from LifelineUSA to place LifelineUSA products on any website capable of conducting a financial transaction, that they do not own the website domain of.  It is each reseller’s sole responsibility to secure permission from LifelineUSA’s Sales Department for products placed on websites prior to the enactment of this E-Commerce Sales Channel Policy, and henceforth 

    LifelineUSA reserves the right to manage the E-Commerce Sales Channel Territory by reserving, holding and granting exclusive placement access to 3rd party reseller websites sites including, but without limitation to; Amazon.com, Hayneedle.com, Sears.com, Target.com, Walmart.com, Ebay.com, etc..  Resellers with placement on these websites, without written permission from LifelineUSA will be deemed to be in violation of this policy.

    Modifications and Monitoring:

    LifelineUSA reserves the right to change the MSRP for any Product from time to time, and it also reserves the right to change the E-Commerce Sales Channel Policy from time to time. LifelineUSA will monitor its E-Commerce Sales Channel. With respect to online resellers of LifelineUSA Products, LifelineUSA will periodically canvas the online E-Commerce Sales Channel for to confirm compliance with LifelineUSA’s E-Commerce Sales Channel Policy.
